Terms of Use

1. Agreement

These Terms of Use ("Terms") form a binding agreement between you and MatchMyVenture ("MatchMyVenture", "we", "us", or "our") regarding your access to and use of the MatchMyVenture website and services (collectively, the "Service"). By creating an account or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

3. The Service

MatchMyVenture is a curated relationship platform that helps entrepreneurs and investors discover and connect with one another. The Service includes compatibility signals (such as V-Score™, T-Score, Match Score, and Trust Score™), messaging, invitations, and related features. The Service is provided "as is" and is not investment advice, brokerage, legal, tax, or financial advice. We are not a party to any transaction or relationship between users.

4. Accounts

You are responsible for the information you provide and for maintaining the confidentiality of your account credentials. You agree to provide accurate, current, and complete information, to keep it updated, and to notify us promptly of any unauthorized use of your account. You are responsible for all activity that occurs under your account.

5. Acceptable use

You agree not to:

• Misrepresent your identity, affiliations, qualifications, or venture.
• Use the Service to harass, defraud, spam, or harm other users.
• Solicit users for purposes unrelated to the Service or send unsolicited commercial messages.
• Scrape, crawl, reverse engineer, or otherwise extract data from the Service without our written permission.
• Upload malware, attempt to gain unauthorized access, or interfere with the operation or security of the Service.
• Use the Service to violate any applicable law, regulation, or third-party right.
• Circumvent matching, verification, or payment controls.

We may investigate and take action against any suspected violation, including removing content, suspending features, or terminating accounts.

6. User content

You retain ownership of the content you submit to the Service ("User Content"). You grant MatchMyVenture a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, adapt, and distribute your User Content solely to operate, secure, and improve the Service, and to surface relevant matches and communications. You represent that you have all rights necessary to grant this license and that your User Content does not infringe any third-party right.

7. Matching, scores, and introductions

Compatibility signals are generated using information provided by users and our internal models. They are indicative only and do not guarantee any outcome, fit, or quality. Matches are opt-in on both sides. MatchMyVenture is not responsible for any decision, agreement, investment, or transaction between users, and does not verify the accuracy of all information provided by users beyond what is described in our published documentation.

8. Paid plans and billing

Some features require a paid subscription. Fees, billing cycles, and plan details are presented at checkout. Subscriptions renew automatically until cancelled. Except where required by law, fees are non-refundable. You authorize us and our payment processor to charge your selected payment method for all applicable fees and taxes. We may change pricing with reasonable notice.

9. Intellectual property

The Service, including its software, design, content, trademarks, and the names V-Score™, Trust Score™, and MatchMyVenture, is owned by MatchMyVenture or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you in these Terms, no license is granted by implication, estoppel, or otherwise.

10. Third-party services

The Service may integrate with or link to third-party services. We are not responsible for those services, their availability, or their practices. Your use of third-party services is subject to their own terms and policies.

11. Termination

You may stop using the Service at any time and may delete your account from your settings. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or if continued provision of the Service to you poses a risk to us, other users, or third parties. Sections that by their nature should survive termination will survive.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. MATCHMYVENTURE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY MATCH, INTRODUCTION, OR OUTCOME WILL BE ACHIEVED.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATCHMYVENTURE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

14. Indemnification

You agree to defend, indemnify, and hold harmless MatchMyVenture and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms or any applicable law.

15. Changes to the Service or these Terms

We may modify or discontinue features at any time. We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws applicable at the principal place of business of MatchMyVenture, without regard to conflict-of-laws rules. The courts located at our principal place of business will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service, unless mandatory consumer protection law in your country of residence requires otherwise.

17. Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and MatchMyVenture regarding the Service. If any provision is held unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
